FOUNDING PARTNER PROGRAMME
TERMS & CONDITIONS

INTRODUCTION
The Base Collective Founding Partner Programme ("Programme") allows approved partners to refer new customers to Base Collective and receive referral rewards in accordance with these Terms & Conditions.
By applying to or participating in the Programme, you agree to be bound by these Terms & Conditions.
Base Collective reserves the right to amend these Terms & Conditions from time to time. Any changes will apply to future referrals and will be published on our website.
ELIGIBILITY
The Programme is open to accountants, bookkeepers, tax advisers, business advisers, consultants and other professional service providers approved by Base Collective.
Base Collective reserves the right to approve or reject any application at its sole discretion.
Participation in the Programme is by invitation and approval only.
PARTNER BENEFITS
Approved Founding Partners will receive:
- A dedicated referral code
- £30 referral reward for each successful qualifying referral
- 10% discount for referred clients on eligible services
- Priority partner support
- Founding Partner status
QUALIFYING SERVICES
Referral rewards are currently payable on the following qualifying services:
- Founder Launch Package
- Founder Complete Package
- Registered Office Address (Annual Plan)
- Director Service Address (Annual Plan)
Referral rewards are not payable on:
- Monthly subscriptions
- Individual add-on services
- Renewals
- Any services not listed above
Base Collective reserves the right to amend qualifying services at any time.
SUCCESSFUL REFERRALS
A successful referral is defined as:
- A new customer who has not previously purchased services from Base Collective
- The customer uses a valid partner referral code
- The customer purchases a qualifying service
- Payment has been successfully received in full
- Any applicable refund period has expired
Referral rewards are only payable for successful qualifying referrals.
CLIENT DISCOUNT
Customers referred through the Programme will receive 10% off eligible services when a valid referral code is used at checkout.
Discounts cannot be used in conjunction with any other offer unless otherwise stated.
Base Collective reserves the right to amend or withdraw promotional discounts for future customers.
REFERRAL REWARD PAYMENTS
Partners will receive £30 for each successful qualifying referral.
Referral rewards are paid monthly by UK bank transfer.
Payments will normally be processed by the 15th of the following month.
Base Collective reserves the right to delay payment where verification, compliance or fraud checks are required.
PAYMENT DETAILS
Partners are responsible for providing accurate payment information.
Base Collective accepts no responsibility for delays resulting from incorrect payment details.
REFERRAL OWNERSHIP
A referral will be attributed to the first valid referral code used by the customer.
Where multiple parties claim the same referral, Base Collective's decision shall be final.
REFERRAL CODE USE
Referral codes are issued exclusively to the approved partner.
Referral codes must not be:
- Published on voucher or discount websites
- Shared through paid advertising without prior written permission
- Sold, transferred or assigned to another individual or business
- Used in any misleading or deceptive manner
Base Collective reserves the right to suspend or withdraw referral codes where misuse is identified.
EXCLUSIONS
Referral rewards will not be payable where:
- The customer is an existing Base Collective customer
- The customer cancels before payment is received
- A refund or chargeback is issued
- The referral is fraudulent
- The referral code has been misused
- The referral relates to the partner's own business or any business under their ownership or control
- The purchase does not relate to a qualifying service
COMPLIANCE & ACCEPTANCE OF CLIENTS
Base Collective reserves the right to refuse service to any customer at its sole discretion.
No referral reward shall be payable where a customer fails compliance, identity verification, onboarding, AML or any other internal approval process.
Acceptance of referred customers remains entirely at the discretion of Base Collective.
MARKETING & BRAND USE
Partners may promote Base Collective using marketing materials supplied by Base Collective.
Partners must not:
- Represent themselves as employees, agents or representatives of Base Collective
- Alter Base Collective branding in a misleading manner
- Make false or misleading statements regarding Base Collective services
- Use Base Collective branding without permission outside the Programme
All Base Collective logos, marketing materials and intellectual property remain the property of Base Collective.
DATA PROTECTION
Partners are responsible for complying with all applicable data protection legislation when referring customers.
Partners should only share customer information where appropriate permission has been obtained.
RELATIONSHIP
Participation in the Programme does not create any partnership, employment, agency or joint venture between Base Collective and the partner.
Partners act independently at all times.
TAX
Partners are responsible for declaring and paying any taxes due in relation to referral rewards received.
Base Collective does not deduct tax from referral payments.
ACTIVE PARTICIPATION
Base Collective reserves the right to remove partners who have remained inactive for a continuous period of 12 months without any successful qualifying referrals.
Where reasonably practicable, notice will be provided before removal.
PROGRAMME CHANGES
Base Collective reserves the right to amend, suspend or withdraw the Programme at any time.
However, partners accepted during the Founding Partner launch period will retain their Founding Partner status and associated benefits for as long as they remain active participants and continue to comply with these Terms & Conditions.
TERMINATION
Either party may terminate participation in the Programme at any time.
Base Collective reserves the right to suspend or terminate participation immediately where these Terms & Conditions have been breached or fraudulent activity is suspected.
Any unpaid qualifying referral rewards earned prior to termination will be paid in accordance with these Terms & Conditions.
LIABILITY
Base Collective shall not be liable for any indirect, consequential or financial losses arising from participation in the Programme.
Our total liability shall not exceed the total referral rewards payable to the partner.
GOVERNING LAW
These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
