Terms and Conditions

1. Introduction

These Terms & Conditions govern the provision of services by Base Collective. By purchasing or using our services, you agree to these terms.

2. Services

Base Collective provides company formation, registered office, director service address, mail handling and business support services.

Base Collective does not provide legal, tax, accounting or regulated financial advice. Clients should seek independent professional advice where appropriate.

3. Client Responsibilities

Clients must:

  • Provide accurate and complete information
  • Comply with all applicable laws and regulations
  • Complete any required identity verification checks
  • Notify us promptly of any changes to their details
  • Use our services only for legitimate business purposes

4. Payments

All fees are payable in advance unless otherwise agreed.

Government filing fees, Companies House fees and third-party costs are non-refundable once submitted or incurred.

Services already delivered or commenced are non-refundable unless otherwise required by law.

5. Subscription Services and Renewals

Certain services are provided on a recurring monthly or annual subscription basis.

Monthly subscriptions will automatically renew each month unless cancelled by the client.

Annual subscriptions will automatically renew each year unless cancelled before the renewal date.

Clients may cancel recurring subscriptions at any time. Cancellation will prevent future renewal charges but will not result in a refund of fees already paid.

Services will continue until the end of the current billing period, after which access to the relevant service will cease.

Base Collective may provide renewal reminders for annual services; however, it remains the client's responsibility to manage their subscription and cancellation preferences.

6. Identity Verification

We may require proof of identity, proof of address and additional information before providing services.

We reserve the right to refuse, suspend or terminate services where verification requirements are not met or where we are unable to satisfy our legal or regulatory obligations.

7. Registered Office and Address Services

Clients using our Registered Office Address or Director Service Address services must maintain accurate company records and comply with all applicable legal obligations.

We reserve the right to withdraw address services where:

  • Identity verification requirements are not maintained
  • False or misleading information is provided
  • Services are used in breach of our policies or legal obligations
  • Continued provision presents regulatory, legal or reputational risk

Clients remain responsible for ensuring Companies House, HM Revenue & Customs and other relevant authorities are updated with any changes to their company information.

8. Mail Handling Services

Mail handling services are provided solely to approved clients.

For the purposes of these services, "official mail" refers to correspondence from government bodies, regulatory authorities, courts, Companies House, HM Revenue & Customs, and other formal institutions addressed to the company or its officers.

Base Collective reserves the right to refuse, return, destroy or report mail or packages where we reasonably believe they may be unlawful, prohibited, dangerous or in breach of our policies.

Clients are responsible for ensuring mail is collected, forwarded or managed in accordance with their chosen service plan.

Upon termination of services, clients must update their registered addresses promptly. Any mail received after termination may be returned to sender or otherwise dealt with at our discretion.

9. Limitation of Liability

Base Collective shall not be liable for any indirect, incidental, special or consequential loss arising from the use of our services.

Our total liability in connection with any claim shall not exceed the fees paid by the client for the relevant service during the preceding 12 months.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

10. Service Suspension or Termination

We reserve the right to suspend or terminate services immediately where:

  • Information provided is inaccurate, incomplete or misleading
  • Legal, regulatory or compliance concerns arise
  • Identity verification requirements are not met
  • Our Acceptable Use Policy is breached
  • We reasonably believe our services are being used improperly or unlawfully

11. Changes to Terms

We may update these Terms & Conditions from time to time. The latest version will always be available on our website. Continued use of our services constitutes acceptance of any updated terms.
